Terms of Service
Last updated: October 15, 2026
The short version
- These terms cover this website only — not any advisory engagement, which is governed by its own signed agreement.
- Nothing on this site is a guarantee of business results, and nothing on it is legal, financial, or compliance advice.
- Client names and logos shown on this site are used with permission.
- A Digital Worker acts only on what you ask it to do, and runs on the grāmatr℠ platform under gramatr, LLC's own acceptable-use terms.
- Texting with a Digital Worker requires your own signed SMS addendum — reply STOP anytime to opt out.
- We may update these terms as the site evolves.
1. Acceptance
By accessing covingtonplacepartners.com, you agree to these Terms of Service. If you do not agree, please do not use the site.
2. Who we are
This website is operated by Covington Place Partners LLC ("CPP," "we," "us," "our"), a Missouri limited liability company. These terms use "the site" to mean covingtonplacepartners.com specifically.
3. What this site is — and isn't
This site describes CPP's advisory services, including the AI Strategy Workshop, AI Governance Program, AI Development Operating System, and related capabilities. These descriptions are informational. They are not an offer that becomes binding simply because you read the site or submit a form — an actual advisory engagement begins only once both parties sign a separate statement of work or engagement agreement, which governs that engagement's scope, deliverables, fees, and terms.
Nothing on this site constitutes legal, financial, tax, or compliance advice, even where the subject is AI governance or regulatory alignment. Where the site describes work as "designed to support" a framework or standard, that describes the intent and approach of the engagement — it is not a certification or a guarantee of compliance, and you should not treat it as one.
4. Your use of the site
You agree not to:
- Use the site to violate any law or the rights of others
- Scrape, mirror, or systematically extract content from the site beyond normal browsing
- Attempt to probe, scan, or test the site's security, or circumvent any security measure
- Interfere with or disrupt the site or the networks connected to it
- Submit false, misleading, or impersonating information through any form on the site
5. Intellectual property
The Covington Place Partners name, logo, website design, and written content on this site are the property of Covington Place Partners LLC and are protected by applicable intellectual property law. Nothing on this site grants you a license to use CPP's name, logo, or content except as needed for normal browsing.
Client names and logos shown on this site (including in the client bar and any case studies) are used with the permission of those clients. If you believe your name or logo appears here without authorization, contact us immediately and we will address it.
6. Third-party references
Where this site references other companies — as clients, as points of comparison, or as aspirational benchmarks — those references do not imply any endorsement, partnership, or affiliation beyond what is explicitly stated.
7. The Digital Worker service
Some CPP engagements include one or more Digital Workers: AI agents configured for your organization. A Digital Worker acts only on what its authorized person asks, within the permissions that person — or their organization — grants it for each connected account (for example, a Google Workspace or Microsoft 365 account).
Who can use it. Only individuals authorized under your organization's engagement agreement, using their own connected account, may use a Digital Worker. An organization's engagement agreement does not by itself authorize any individual's account — each person's own connection must be set up before they can use it.
What it can do. Capabilities are granted per connected account and per capability — reading mail is separate from drafting or sending it; reading a calendar is separate from changing it. The permissions screen shown when you connect an account states exactly what's granted; anything not granted, your Digital Worker cannot do. See what each capability allows for the current list, which CPP extends as new capabilities and connected providers ship, without needing to rewrite these terms.
What needs your click. Any action that affects another person or changes your data — sending email, an invitation or update that notifies others, creating or moving a calendar item, creating or editing a file, saving a contact, or spending or publishing through a connected business account — requires your confirming click, every time. Reading, drafting, and anything on your Digital Worker's own task list do not require a click.
Acceptable use. Use your Digital Worker the way you'd direct a human colleague. Don't ask it to access or share information you aren't authorized to access or share yourself, and don't attempt to use another person's Digital Worker or connected account.
Accepting these terms. For engagements that include a Digital Worker, authorized individuals accept these terms by clicking Approve in CPP's onboarding workflow (currently conducted in Slack). CPP keeps a record of when each person accepted and which version of these terms they accepted. If we materially change these terms, we will ask again before that person's Digital Worker continues operating under the new version.
Ending the service. You can disconnect a connected account at any time directly at the provider — for Google, under your Google Account's security and permissions settings; for Microsoft, under My Apps or your Microsoft account's app permissions; for other providers, under that provider's equivalent settings — and by notifying CPP at shea@covingtonplacepartners.com. Once disconnected, your data is handled as described in the retention table of our Privacy Policy.
8. The grāmatr platform
CPP's Digital Workers run on the grāmatr℠ platform, operated by gramatr, LLC. CPP is a licensee of the platform, not its operator. Your use of a Digital Worker is also subject to the acceptable-use restrictions in gramatr's own Terms of Service, which pass through to you as a user of a Digital Worker and include, among others: no reverse-engineering, decompiling, or disassembling the platform or the models it uses; no attempting to access another user's data; no probing, scanning, testing the vulnerability of, or circumventing any security or authentication measure on the platform; and no using the platform to build a competing product or service. CPP may update how it uses the grāmatr platform as that arrangement evolves.
9. SMS / text messaging service
Some CPP engagements include the ability to communicate with your assigned Digital Worker by text message. This is an interactive, one-to-one service between you and your Digital Worker — not a broadcast or marketing list.
Who can use it. Only phone numbers belonging to individuals who have personally signed CPP's SMS addendum may text with a Digital Worker. An organization's engagement agreement does not by itself authorize any individual's number — each person must sign the addendum themselves before their number is enabled.
Acceptable use. Use this channel the way you'd use it with a human colleague. Don't use it to submit information you haven't been authorized to share, and don't attempt to use it on behalf of a phone number that isn't yours.
Message frequency and rates. Message frequency varies based on your work with your Digital Worker. Message and data rates may apply per your mobile carrier plan.
Opting out. Reply STOP, UNSUBSCRIBE, CANCEL, END, QUIT, STOPALL, REVOKE, or OPTOUT at any time to stop receiving texts from your Digital Worker. We will honor this within the timeframe required by law. Once you opt out, you'll need to re-sign the SMS addendum or contact us to resume texting with your Digital Worker.

10. Disclaimer
This site, and the Digital Worker service, are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or accuracy. We do not warrant that the site or a Digital Worker will be uninterrupted, secure, or error-free, or that a Digital Worker's outputs will be accurate or complete.
11. Limitation of liability
To the fullest extent permitted by law, Covington Place Partners LLC and its members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this website or a Digital Worker. This limitation does not apply to liability arising under a separately signed engagement agreement, which is governed by its own terms.
12. Governing law
These terms are governed by the laws of the State of Missouri, without regard to conflict-of-laws principles. Any dispute relating to these terms or this website will be resolved in the state or federal courts located in Missouri.
13. Changes
We may update these terms as the site evolves. When we do, we'll update the "Last updated" date above. Continued use of the site after changes constitutes acceptance of the updated terms.
14. Severability
If any provision of these terms is found unenforceable, the remaining provisions remain in full force and effect.
